506(c) Private Placements
The initial offering that HybridFi plans to offer access to is a private placement pursuant to Rule 506(c) of Regulation D of the Securities Act of 1933, as amended (the "Securities Act").
Accredited Investors - Rule 506(c) transactions are available only to accredited investors (as defined in Rule 501 of the Securities Act), so people who are not “accredited investors” cannot participate.
Offering Disclosure Requirements - There are no specific disclosure requirements pursuant to Rule 506(c) transactions, so the offering documentation for a 506(c) transaction may be more limited in scope than an offering circular for a public offering of securities.
No SEC Reporting - An issuer of securities pursuant to a 506(c) transaction does not have any initial or ongoing SEC reporting obligations (other than the filing of a Form D), so investors in a 506(c) transaction may not have access to financial and other important information.
